Intellectual Property:
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by UnifyGPT, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.
Disclaimer of Warranties:
The Platform is provided “as is” and “as available.” We make no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. You expressly agree that your use of the Platform is at your sole risk.
Limitation of Liability:
To the fullest extent permitted by law, in no event will UnifyGPT, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Platform, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
Indemnification:
You agree to indemnify, defend, and hold harmless UnifyGPT, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, any use of the Platform’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Platform.
Termination:
We may terminate or suspend your access to all or part of the Platform at any time, with or without cause, with or without notice, effective immediately. Upon termination, you must immediately stop using the Platform.
Governing Law and Jurisdiction:
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the federal or state courts located in San Francisco, California, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
Entire Agreement:
These Terms and our Privacy Policy constitute the sole and entire agreement between you and UnifyGPT with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.
Changes to these Terms:
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately upon posting on the Platform, and your continued use of the Platform following the posting of the revised Terms means that you accept and agree to the changes.
